Legal Representation

The administrator is the person who will be legally responsible for all the company's actions in Brazil. The administrator does not have to be the owner of the company and must be named in the articles of association. According to Brazilian law, the administrator must be a Brazilian citizen or have a permanent Brazilian visa.

02 | What are the prerequisites and processes for incorporating foreign companies in Brazil?

The process of registering a company in Brazil involves a number of essential prerequisites and steps, as described below:

  • Appointment of a Registered Local Agent - A registered local agent must be appointed to act as the official representative of your company setup in Brazil and maintain a legal address in the country.

  • Directors and Shareholders - To incorporate a company in Brazil, the company must have at least 1 director and 1 shareholder, who can also act as a director.

  • Capital requirements - The minimum capital requirement for a Limited Company is not explicitly defined by law. However, a reasonable capital contribution is recommended to ensure the credibility and viability of the company.

  • Translation of Documents - If the company's documents for registration in Brazil are drawn up in a language other than Portuguese, they must be translated by a sworn translator. In addition, documents issued outside Brazil may require notarization and apostille.
